Terms & Conditions

Effective 2026-09-28. Boland Solutions, LLC, Georgia, USA.

1. Acceptance

These Terms and Conditions (“Terms”) govern all engagements between Boland Solutions, LLC (“Boland Solutions,” “we,” “our”) and any individual or entity (“Client,” “you”) that requests, receives, or pays for services from Boland Solutions, including work initiated by email, phone, video call, written proposal, or handshake agreement. By engaging Boland Solutions in any of these ways you accept these Terms as they exist on the date the engagement begins.

2. Services

Boland Solutions offers consulting, planning, integration, and light implementation services in the areas advertised on boland-solutions.com, which include smart home integrations, industrial automation analysis, custom hardware and Internet of Things development, energy monitoring, systems automation, custom workflows, robotics safety analysis, cybersecurity posture evaluation, smart device application development, and AI adoption assistance. The specific scope, deliverables, schedule, and fees for each engagement are set out in a separate written proposal or statement of work agreed in writing between Boland Solutions and the Client.

3. Nature of Services and Consultant Credentials

Services are provided in an advisory and consultative capacity. Boland Solutions’ work draws on Brian Boland’s certification as an Engineer-in-Training (EIT) and a Master of Science degree in Engineering, together with practical experience as a robotics integrator, software developer, and connected-device designer. Deliverables typically take the form of written recommendations, reference designs, bills of material, wiring or network diagrams, sample source code, configuration files, and installation assistance.

Nothing produced under an engagement with Boland Solutions constitutes the practice of professional engineering as defined by the laws of the State of Georgia or any other jurisdiction, and Boland Solutions does not hold itself out as offering services that require a licensed Professional Engineer’s seal. Where a project requires stamped or sealed engineering drawings, formal engineering approvals, permitting under a jurisdiction’s engineering practice act, or work that must otherwise be performed or supervised by a licensed Professional Engineer, architect, master electrician, or other licensed tradesperson, the Client is responsible for retaining that licensed professional, and Boland Solutions will coordinate with them at the Client’s request but does not assume their role. The Client is likewise responsible for obtaining any permits, inspections, and code compliance approvals required for work implemented on the Client’s property or premises.

4. Client Responsibilities

The Client agrees to provide the information, access, network credentials, existing documentation, and site conditions necessary for Boland Solutions to perform the agreed services, and to review deliverables and provide feedback within a reasonable time. The Client is responsible for the safe operation, maintenance, and periodic review of any system installed, modified, or recommended, including keeping firmware and software up to date, maintaining backups, and following manufacturer instructions for the underlying hardware.

5. Fees and Payment

Fees are set out in the applicable proposal or statement of work and may be fixed-fee, hourly, or a combination of the two. Unless otherwise stated, invoices are due net fifteen (15) days from the invoice date. Overdue balances accrue interest at the lesser of 1.5% per month or the maximum rate permitted by applicable law. Reasonable travel, materials, third-party software, subscription, and hardware costs incurred for the Client’s benefit are billed at cost and are the Client’s responsibility.

6. Deliverables and Intellectual Property

Upon full payment of the fees due for an engagement, the Client receives a non-exclusive, perpetual license to use the deliverables produced specifically for that engagement for the Client’s internal purposes. Boland Solutions retains ownership of all pre-existing know-how, tools, templates, libraries, and generalized techniques used to produce those deliverables, and may reuse them in future engagements. Third-party components incorporated into a deliverable remain subject to their own licenses, which the Client agrees to observe.

7. Confidentiality

Each party will treat the other party’s non-public business, technical, and personal information disclosed in the course of an engagement as confidential and will use it only for purposes of the engagement. This obligation does not apply to information that is or becomes public through no fault of the receiving party, was already known to the receiving party without a duty of confidence, is independently developed without reference to the disclosing party’s information, or is required to be disclosed by law or court order.

8. No Warranty

Services and deliverables are provided on an “as is” and “as available” basis. Except as expressly stated in a signed statement of work, Boland Solutions makes no representations or warranties, express or implied, including without limitation any implied warranties of merchantability, fitness for a particular purpose, non-infringement, or that any system, integration, or recommendation will meet the Client’s requirements, be free of errors, or be uninterrupted.

9. Limitation of Liability

To the maximum extent permitted by law, Boland Solutions’ total aggregate liability arising out of or related to an engagement, whether in contract, tort (including negligence), strict liability, or otherwise, is limited to the fees actually paid by the Client to Boland Solutions for the specific engagement giving rise to the claim during the six (6) months preceding the event on which the claim is based. In no event will Boland Solutions be liable for lost profits, lost revenue, loss of data, business interruption, or any indirect, incidental, special, consequential, exemplary, or punitive damages, even if advised of the possibility of such damages.

10. Indemnification

The Client agrees to indemnify, defend, and hold harmless Boland Solutions and its members, employees, and contractors from and against any third-party claims, losses, damages, or expenses (including reasonable attorneys’ fees) arising out of the Client’s use, operation, installation, or maintenance of any system implemented, recommended, or reviewed under an engagement, the Client’s failure to obtain required permits or licensed professional oversight, or the Client’s breach of these Terms.

11. Independent Contractor

Boland Solutions performs services as an independent contractor. Nothing in an engagement creates a partnership, joint venture, employment, agency, or franchise relationship between the parties, and neither party has authority to bind the other.

12. Term and Termination

An engagement continues until the agreed deliverables are complete or until it is terminated. Either party may terminate an engagement for convenience with fourteen (14) days’ written notice, and either party may terminate immediately for a material breach that is not cured within fourteen (14) days of written notice describing the breach. On termination, the Client will pay for all work performed and expenses incurred through the effective date of termination.

13. Governing Law and Venue

These Terms and any engagement are governed by the laws of the State of Georgia, USA, without regard to its conflict-of-laws principles. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in the State of Georgia for any dispute arising out of or related to these Terms or an engagement that cannot be resolved informally.

14. Entire Agreement; Modifications

These Terms, together with any signed proposal or statement of work, constitute the entire agreement between the parties with respect to the engagement and supersede any prior or contemporaneous oral or written agreements on the same subject. Modifications must be in writing and agreed by both parties.

15. Changes to These Terms

Boland Solutions may update these Terms from time to time. The version in effect at the start of an engagement governs that engagement; updates apply to engagements initiated after the update’s effective date.
